“To the extent permitted by applicable law, you agree to indemnify and hold harmless Elai and its affiliates, officers, directors, employees, contractors, and agents, from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses (including but not limited to attorney’s fees) arising from your acts or omissions, including without limitation (a) your use of and access to the Website and/or Services, (b) your violation of any term of these Terms of Service, (c) your violation of any third party right, or (d) your User Content. Elai reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of these claims. You agree not to settle any matter without the prior written consent of Elai.”
