“ 5.4 Mechanism Invalidity. If any transfer mechanism relied upon under this Section 5 becomes invalid, suspended, or otherwise unavailable, the parties shall cooperate in good faith to implement a lawful alternative transfer mechanism without undue delay. Napkin AI may suspend the relevant transfers until such mechanism is in place, without such suspension constituting a breach of this DPA or the Agreement.”
