“ 12.4 Severability. If any provision of this DPA is held invalid, unlawful, or unenforceable, the remaining provisions shall continue in full force and effect. The parties shall, in good faith, negotiate a replacement provision that is valid, lawful, and enforceable and that achieves, to the greatest extent possible, the original intention of the replaced provision.”
