“Fees for any overages may be billed in arrears. If such fees are being paid via credit card or other electronic means, you authorize us to charge such fees using your selected payment method. You are responsible for providing complete and accurate billing information to ClickUp. We may suspend or terminate your use of the Service if fees become past due. All fees are non-refundable except as required by law or as set forth in Section 1.14. 1.10. Taxes. You are responsible for all taxes (excluding taxes on our net income), and we will charge tax if required to do so by law. If you have any tax-exemptions which you would like applied to your invoice, you must provide proof of such exemption at the time of your purchase for it to apply. 1.11. Purchase Orders. If you require the use of a purchase order or purchase order number, you (a) must provide the purchase order number at the time of purchase; and (b) agree that any terms and conditions on your purchase order will not apply and are null and void. 1.12. Automatic Renewal. By default, customer accounts are set to automatically renew and we may automatically charge you for such renewal on or after the renewal date associated with your account unless you have cancelled the Service. For customers on an annual Services plan, you must provide us with notice of any downgrades or cancellations to your purchased Services (including but not limited to full cancellations of your account, reductions in user counts, changes to your Services packages, or the discontinuation of any add-ons or upgrades) at least thirty days prior to your Services renewal date or your Services will automatically renew for an additional twelve month period. ”
