“ 14.6. Assignment . Neither Party may assign this Agreement, in whole or in part, without the prior express written consent of the other Party; except that, each Party may assign (including without limitation by operation of law) this Agreement in whole to any of its Affiliates and/or to any successor in connection with a merger, consolidation, or acquisition of all or substantially all of the assigning Party’s assets or shares. Furthermore, any AI21 obligation hereunder may be performed (in whole or in part), and any AI21 right (including invoice and payment rights) or remedy may be exercised (in whole or in part), by an Affiliate of AI21. Any unauthorized assignment will be null and void. This Agreement shall be binding upon and inure to the benefit of the Parties and their respective successors and assigns.”
