“ (a) Definition of “Competitor.” Any individual, entity, or affiliate of an entity that develops, markets, sells, operates, or is preparing to develop, market, sell, or operate any product, service, platform, application, or business that competes, in whole or in material part, with the Services. Includes without limitation: AI-powered or AI-augmented primary care; virtual, telehealth, or asynchronous primary care; AI clinical decision support tools intended for primary care or longitudinal care; AI-driven prescription, prescription-renewal, or refill services; AI-driven patient triage, intake, or interaction tools; AI-assisted laboratory test ordering or interpretation for consumer or patient use; and AI-augmented interpretation of longitudinal health records or health information exchange data. Clara reserves the right to determine in its reasonable discretion whether you, your employer, or any entity you are affiliated with is a Competitor.”
