If you opt out of arbitration in accordance with the procedure set forth in the Learneo Terms of Service, and/or in any circumstances where the arbitration agreement outlined in the Learneo Terms of Service permit either you or Quillbot to litigate any dispute arising out of or relating to the subject matter of these Terms in court, then the arbitration agreement will not apply to either party, and both you and Quillbot agree that these Terms and your relationship with Quillbot are governed by the laws of the state of New South Wales of Australia, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG), without regard to its conflict-of-law provisions. You and Quillbot agree to submit to the personal jurisdiction of the courts of New South Wales and the Commonwealth of Australia in respect of all matters arising out of or relating to these Terms, their performance and subject matter.”
